Branch Office: A branch office is a legal entity established in Saudi Arabia as an extension of the GCC parent company. It operates with a separate legal identity; however, the parent company remains fully responsible for its debts and obligations.
Subsidiary (LLC): A subsidiary is an independent legal entity incorporated in Saudi Arabia and owned by the GCC parent company. It operates with its own management structure and board of directors.
Scenario 3: Foreign Individuals Starting a New Company in Saudi Arabia
The pathways available to foreign individuals looking to found a new company in Saudi Arabia are more limited than those available to existing companies. To establish an entity, foreign nationals must meet at least one of the following conditions:
- Hold a letter of support from a recognized government body — such as MISA, the Public Investment Fund (PIF), CODE, KAUST, or the Tourism Development Fund (TDF)
- Hold a registered, patented idea
